2015 In-House Community Jakarta Congress

Assegaf Hamzah & Partners ("AHP") was one of the sponsors of the 2015 In-House Community Congress which was held in Jakarta on 22 April 2015. During the Congress, AHP hosted a workshop on public-private partnerships ("PPP") in Indonesia having regard to the recently issued Presidential Regulation No. 38 of 2015, which seeks to streamline the PPP process and to expand it into new areas in the Indonesian context. The one-and-a-half-hour workshop was presented jointly by AHP Banking & Finance Partner, Mr. Ibrahim Assegaf, and Projects & Energy Partner, Ms. Kanya Satwika. Among the matters discussed were PPP documentation, land procurement and return on investment.

The AHP workshop drew an attendance of some 150 in-house counsel, representing many of the best-known domestic and multinational firms in Indonesia.

Avoiding and Resolving Disputes in IT Project Implementation

Christopher & Lee Ong organised a seminar on "Avoiding and Resolving Disputes in IT Project Implementation" on 23 April 2015. In attendance, aside from the firm's associates were guests from Ericsson and CIMB Bank. This seminar was conducted by the partners from Rajah & Tann Singapore and Christopher & Lee Ong, Lau Kok Keng, Ong Chee Kwan and Han Li Meng. The speakers touched on issues in relation to the common causes of disputes in IT projects, the avoidance and resolution of disputes, as well as dispute resolution strategies.

INTERPOL World 2015

Rajah & Tann Singapore LLP were the official legal partner for INTERPOL World 2015 held on 14 - 16 April 2015. INTERPOL World is a new event owned by INTERPOL and supported by the Singapore Ministry of Home Affairs. It's aim is to showcase innovation, potential and joint achievements amongst the public and private sectors in the security arena. The international forum attracted more than 8,000 attendees from the public and private sectors who all have an interest in addressing the challenges facing the global policing and security industries.

Rajah & Tann lawyers from the Intellectual Property, TMT and White Collar Crime practices were onsite to showcase the firms expertise in these areas of law to exhibitors and attendees.

Client Seminars: (i) Myanmar in 2015: (ii) Arbitration

The Japan Desk of the firm recently organised two seminars for its existing clients and potential clients.  On 27 April 2015, it conducted a talk on "Myanmar in 2015 - Risks, Prospects & Challenges". In view of Myanmar' continuing economic reforms with a slew of legislative changes, Hiroyuki Ota from the Integrated Regulatory Practice, together with Myanmar Desk co-head Jainil Bhandari, Nang Yin Kham and Alory Chan from the Integrated Regulatory Practice and Howard Cheam from the Capital Markets Mergers & Acquisition Practice as panelists,  provided a snapshot of the key recent legal developments that are of interest to investors. They also discussed the risks, prospects and challenges for businesses looking to enter this frontier market.

On 26 March 2015, Ng Kim Beng from the International Arbitration Practice, and Shuhei Otsuka and Masaru Suzuki from the Japan Desk gave a talk on "A Strategic Approach to Dispute Resolution - Considerations at Contract Drafting". In light of the recent attention to arbitration and dispute resolution in Singapore, the Speakers provided the Japanese client-companies with strategic insights that they have to consider when drafting contracts and dispute resolution clauses.

Client Seminar: "When the Taxman Comes Knocking..."

Rajah & Tann Singapore's Integrated Regulatory Practice conducted a client seminar titled "When the Taxman Comes Knocking…" on 20 April 2015.

As countries recalibrate their tax policies from time to time, businesses will need to organise their tax compliance accordingly. It is no different in Singapore, and recent cases have shown that the Inland Revenue Authority of Singapore ("IRAS") is prepared to prosecute tax offences or pursue civil actions against companies. The speakers, Liu Hern Kuan, the Head of the Firm's Tax Practice, and Vikna Rajah, also from the same Practice, discussed how one should respond if IRAS were to take a different view. They also explored the avenues of recourse or appeal available to affected taxpayers.

Lionel Tay from the Restructuring & Insolvency Practice touched on the key considerations, pitfalls and recommended responses to an investigation conducted by the IRAS for alleged tax offences.

Client Seminar: Protecting and Securing Data: The Menace of Data Breach, IT System Compromise and Cyberattack – Are you prepared?

Steve Tan, the Deputy Head of the firm's TMT (Technology, Media and Telecommunications) Practice, was the speaker at a client seminar titled "Protecting and Securing Data: The Menace of Data Breach, IT System Compromise and Cyberattack – Are you Prepared?" on 9 April 2015.

With incidents of data breaches and cyberattacks resonating around the world, there has never been a more crucial time in the history of Singapore for organisations to ensure that data in their possession and under their control remain secure and protected, especially with the enactment of laws such as Singapore's Personal Data Protection Act and other existing industry laws regulating an organisation’s use and protection of personal data.

Steve and another Speaker, Blue Coat Systems' Matthias Yeo, explored the issue of safeguarding data within an organisation using appropriate technology and means, as well as consider activities that should be carried out should a data breach, IT System compromise or cyberattack occur. It also touched on the latest development with regard to privacy law, namely the concept of the Right to be Forgotten.

The seminar was jointly organised by Rajah & Tann Singapore LLP and Blue Coat Systems, leading-edge security technology company.  It received overwhelming response and was over subscribed.

Client Seminar: Managing Risks in US International Regulatory Compliance

Rajah & Tann Singapore LLP's Shipping & International Trade Practice hosted a client seminar titled "Managing Risks in US International Regulatory Compliance" on 19 March 2015.

US sanctions, export controls, and corruption regimes pose significant challenges to many non-U.S. companies, including those engaged in international trade, shipping and finance. These types of international regulatory laws are broadly worded and often unclear, making the conduct of international business – even for non-U.S. companies – subject to complexities and uncertainty. Furthermore, they have extra-territorial application, and are increasingly enforced against non-U.S. entities.

Partners Meredith Rathbone and Tom Best from Steptoe & Johnson LLP's International Regulation and Compliance Practice shared recent developments the evolving world of U.S. economics, export controls, and anti-corruption laws and regulations, with a focus on how these regimes impact companies in Singapore, including those engaged in international trade, shipping and financial services.

Client Seminar: Transfer Pricing in Singapore

The Firm's Competition & Antitrust and Trade and Tax Practices in conjunction with Asia Pacific Business Consultants conducted a client seminar titled "Transfer Pricing in Singapore" on 25 March 2015.

Tax authorities around the world are paying closer attention to transfer pricing. The Inland Revenue Authority of Singapore’s ("IRAS") recent update of its Transfer Pricing Guidelines in January is a reminder that governments are stepping up efforts to both clarify and strengthen their regulations on transfer pricing. These efforts are meant to prevent aggressive tax avoidance by companies that operate across multiple tax jurisdictions. At the same time, the clearer rules will help companies achieve greater tax certainty in its cross-border transactions.

At the seminar, the Speakers discussed the key transfer pricing concepts, and looked closely at the IRAS Transfer Pricing Guidelines, to provide guidance and share their experiences on the transfer pricing regime in Singapore. The Speakers flagged out issues and suggested practical steps that a company needs to know in order to comply with and take full advantage of the new regulatory regime.

Rajah & Tann Singapore LLP's Myanmar Practice conducted a seminar titled "Myanmar in 2015 - Risks, Prospects & Challenges" on 27 March 2015.

2015 is a defining year for Myanmar. Following its successful chairing of ASEAN in 2014, Myanmar is gearing itself for a possible referendum on constitutional changes and General Elections at the end of the year. At the same time, foreign direct investment has shown little signs of slowing down as Myanmar continues its economic reforms with a slew of legislative changes.
